The Register of Overseas Entities (Protection and Trusts) (Amendment) Regulations 2025
These Regulations make provision relating to the register of overseas entities (“the ROE”) kept by the registrar of companies for England and Wales (“the registrar”) in accordance with Part 1 of the Economic Crime (Transparency and Enforcement) Act 2022 (c. 10). The provisions relate to the protection of information, the disclosure of trust information and additional required information from overseas entities and registrable beneficial owners which are legal entities.

Enabling power
The Secretary of State makes these Regulations in exercise of the powers conferred by sections 23(2), 25, 67(2) and 67(3)(b) of the Economic Crime (Transparency and Enforcement) Act 2022. In accordance with sections 23(10), 25(9) and 67(4) of the Economic Crime (Transparency and Enforcement) Act 2022, a draft of these Regulations has been laid before Parliament and approved by resolution of each House of Parliament. The Secretary of State has consulted the Scottish Ministers in accordance with section 24(1) of the Economic Crime (Transparency and Enforcement) Act 2022. The Secretary of State has consulted the Department of Finance in Northern Ireland in accordance with section 24(2) of the Economic Crime (Transparency and Enforcement) Act 2022.
